Terms of Service

1. Acceptance

By installing or using TermForge (the "app"), you agree to these Terms of Service. If you do not agree, do not install or use the app. You must be authorized to act on behalf of the Shopify store on which you install it.

2. The service

TermForge lets you sell with a deposit: the buyer pays part at checkout and TermForge captures the remaining balance later — on fulfillment, on a date you set, or a number of days after checkout. It publishes your deposit plans as Shopify selling plans, tracks each outstanding balance, retries failed charges, and (on the Studio plan) supports net payment terms, draft-order deposits and store credit. It reads your orders to do this and therefore operates at Protected Customer Data Level 1. See our Privacy Policyand Protected customer data page.

4. Your store & your actions

• You retain all rights to your store, products and orders.
• TermForge acts on your instruction: it creates the deposit plans you configure, and captures a balance only on the schedule you chose.
• Store credit, net terms and draft-order invoices are issued only when you ask for them.
• You are responsible for telling your buyers, at the point of sale, that a balance will be charged later.

5. Acceptable use

You agree not to misuse the app: no attempts to reverse-engineer, disrupt, or overload the service; no use to generate unlawful, infringing, or deceptive content; and no use in violation of Shopify's terms or applicable law.

6. Billing

Paid plans are billed through Shopify's managed billing according to the plan and interval you select. Fees are charged via your Shopify invoice. You can change or cancel your plan from within Shopify; charges already incurred are non-refundable except where required by law.

7. Third-party services

The app relies on Shopify — for the Admin API, for vaulting the buyer’s payment method, for processing the balance charge, and for sending invoice emails. There are no other sub-processors: TermForge uses no AI provider and no analytics vendor. Your use of Shopify is subject to its own terms; we are not responsible for third-party outages or changes.

8. Warranty disclaimer

The app is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, TermForge and its operators are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the app. Our total liability for any claim is limited to the fees you paid for the app in the three months preceding the claim.

10. Termination

You may stop using the app and uninstall it at any time. On uninstall we remove your data as described in the Privacy Policy. We may suspend or terminate access for violation of these terms or as required by Shopify or law.

11. Changes to these terms

We may update these terms from time to time. Material changes will be reflected by an updated "Last updated" date on this page. Continued use after changes constitutes acceptance.
